The annual shareholder meeting (the “Meeting”) of WTI Fund X, Inc. (the “Fund”) was held on May 20, 2026, to consider and vote on the election of four members of the Board of Directors of the Fund (Spiro C. Lazarakis, William R. Miller, Georganne Perkins and David R. Wanek) and the ratification of the appointment of Deloitte & Touche LLP as the Fund’s independent registered public accounting firm for the fiscal year ending on December 31, 2026.

On April 6, 2026, the record date for the Meeting, there were 100,000 shares of Common Stock, $0.001 par value (“Shares”) of the Fund outstanding and entitled to vote. 100% of the Shares are owned by the Fund’s sole shareholder, WTI Fund X, LLC (the “LLC”), the members of which (“Members”) have pass-through voting rights such that the LLC, as the sole shareholder of the Fund, may take no action as shareholder of the Fund without first securing the approval of the Members.  The election of each of the nominated directors required the prior approval of the holders of at least a plurality of the outstanding shares of membership interest of the LLC (the “LLC Shares”) and ratification of the appointment of Deloitte & Touche LLP as the Fund’s independent registered public accounting firm for the fiscal year ending on December 31, 2026 required the prior approval of at least a majority of the outstanding LLC Shares.

The voting results are as follows:

Consequently, the LLC cast 100% of the Shares in favor of approval of both of the proposals presented at the Meeting.
