EXPLANATORY NOTE
On July 20, 2026 (the “Closing Date”), Freenome, Inc. (previously named Perceptive Capital Solutions Corp, the “Registrant”) consummated a business combination pursuant to the terms of the business combination agreement, dated December 5, 2025 and amended on July 20, 2026 (as amended, the “Business Combination Agreement”), with StarNet Merger Sub I, Corp. (“Merger Sub I”), StarNet Merger Sub II, LLC (“Merger Sub II”), and Freenome Holdings, Inc. (“Legacy Freenome”).
Pursuant to the terms of the Business Combination Agreement, among other things, the following occurred: (1) the domestication of Perceptive Capital Solutions Corp (“PCSC”) as a Delaware corporation, in which PCSC de-registered from the Register of Companies in the Cayman Islands and transferred by way of continuation out of the Cayman Islands and into the State of Delaware so as to migrate to and domesticate as a Delaware corporation in accordance with PCSC’s amended and restated memorandum and articles of association (the “PCSC Articles”), Section 388 of the Delaware General Corporation Law (the “DGCL”) and Part XII of the Companies Act (As Revised) of the Cayman Islands (the “Cayman Companies Act”) (the “Domestication”); (2) the merger of Merger Sub I with and into Legacy Freenome with Legacy Freenome surviving the merger as a wholly-owned subsidiary of PCSC (the “First Merger”), in accordance with the Business Combination Agreement and DGCL; (3) Legacy Freenome, as the surviving corporation of the First Merger, merged with and into Merger Sub II (the “Second Merger,” and together with the First Merger, the “Mergers”), with Merger Sub II continuing as the surviving company in the Second Merger, in accordance with the Business Combination Agreement and DGCL; and (4) the consummation of the other transactions contemplated by the Business Combination Agreement and documents related thereto (such transactions, together with the Domestication and the Mergers, the “Business Combination”).
In connection with the Business Combination, each outstanding and unexercised option to purchase shares of Legacy Freenome common stock (each, a “Legacy Freenome Option”) under the Freenome Holdings, Inc. 2016 Stock Incentive Plan, as amended (the “2016 Plan”) was cancelled and exchanged for an option of the Registrant (each, a “Registrant Option”) under the Freenome, Inc. 2026 Equity Incentive Plan (the “2026 Plan”) exercisable for the number of shares of the Registrant’s common stock, par value $0.0001 per share (“Common Stock”) equal to approximately 0.282895 multiplied by the number of shares of Legacy Freenome common stock subject to the Legacy Freenome Option as of immediately prior to the effective time of the Business Combination, rounded down to the nearest whole share. Additionally, each unvested, outstanding restricted stock unit award with respect to Legacy Freenome common stock (each, a “Legacy Freenome RSU”) under the 2016 Plan was cancelled and exchanged for a restricted stock unit award of the Registrant (each, a “Registrant RSU”) under the 2026 Plan relating to the number of shares of Common Stock set forth on an allocation schedule. Following the Closing Date, Legacy Freenome did not grant any further awards under the 2016 Plan.
Accordingly, this Registration Statement registers (i) 2,466,114 shares of Common Stock reserved and available for future issuance under the 2026 Plan, which are the shares of Common Stock reserved as the Initial Limit (as defined under the 2026 Plan)excluding the (a) 8,272,601 shares of Common Stock reserved with respect to the Legacy Freenome Options and (b) 4,034,512 shares of Common Stock reserved with respect to the Legacy Freenome RSUs; (ii) 8,272,601 shares of Common Stock issuable with respect to the vested Legacy Freenome Options that were cancelled and exchanged for Registrant Options under the 2026 Plan; and (iii) 2,462,204 shares of Common Stock reserved and available for future issuance under the Freenome, Inc. 2026 Employee Stock Purchase Plan.

Indemnification of Directors and Officers.
Section 145(a) of the DGCL provides, in general, that a corporation may indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative (other than an action by or in the right of the corporation), because he or she is or was a director, officer, employee or agent of the corporation, or is or was serving at the request of the corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise, against expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by the person in connection with such action, suit or proceeding, if he or she acted in good faith and in a manner he or she reasonably believed to be in or not opposed to the best interests of the corporation and, with respect to any criminal action or proceeding, had no reasonable cause to believe his or her conduct was unlawful.

Section 145(g) of the DGCL provides, in general, that a corporation may purchase and maintain insurance on behalf of any person who is or was a director, officer, employee or agent of the corporation, or is or was serving at the request of the corporation as a director, officer, employee or agent of another corporation, partnership, joint venture, trust or other enterprise against any liability asserted against such person and incurred by such person in any such capacity, or arising out of his or her status as such, whether or not the corporation would have the power to indemnify the person against such liability under Section 145 of the DGCL.
Our Charter provides that no director or officer of ours shall be personally liable to us or our stockholders for monetary damages for any breach of fiduciary duty as a director or officer, except for liability (a) for any breach of such person’s duty of loyalty to the Corporation or its stockholders, (b) for acts or omissions not in good faith or which involve intentional misconduct or a knowing violation of law, (c) under Section 174 of the DGCL or (d) for any transaction from which such person derived an improper personal benefit. In addition, our Charter provides that if the DGCL is amended to authorize the further elimination or limitation of the liability of directors or officers, then the liability of a director or officer of ours shall be eliminated or limited to the fullest extent permitted by the DGCL, as so amended.
Our Charter further provides that any repeal or modification of such article by its stockholders or amendment to the DGCL will not adversely affect any right or protection existing at the time of such repeal or modification with respect to any acts or omissions occurring before such repeal or modification of a director or officer, as applicable, serving at the time of such repeal or modification.
Our Bylaws provide, in general, that we will indemnify each person who was or is a party or threatened to be made a party to any threatened, pending or completed action, suit or proceeding whether civil, criminal, administrative or investigative (other than an action by or in the right of the Company) by reason of the fact that he or she is or was the Company’s director or officer, or is or was serving at our request as a director, officer, partner, employee or trustee of, or in a similar capacity with, another corporation, partnership, joint venture or other enterprise (all such persons being referred to as an Indemnitee), or by reason of any action alleged to have been taken or omitted in such capacity, against all expenses (including attorneys’ fees), judgments, fines, and amounts paid in settlement actually and reasonably incurred in connection with such action, suit or proceeding and any appeal therefrom, if such Indemnitee acted in good faith and in a manner he or she reasonably believed to be in or not opposed to our best interests, and, with respect to any criminal action or proceeding, he or she had no reasonable cause to believe his or her conduct was unlawful. Our Bylaws also provides that we will advance expenses to such officer or director indemnified in connection with a legal proceeding, subject to limited exceptions.
We have entered into indemnification agreements with each of our directors and executive officers. These agreements provide that we will indemnify each of our directors and such officers to the fullest extent permitted by law and our Charter and our Bylaws.
We also maintain a general liability insurance policy, which will cover certain liabilities of directors and officers of ours arising out of claims based on acts or omissions in their capacities as directors or officers.
