On September 22, 2026, Beam Global (the “Company”) issued a press release announcing that it entered into a non-binding letter of intent relating to the proposed acquisition of a European drone technology company. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
The proposed acquisition remains subject to due diligence, negotiation and execution of definitive agreements and other customary closing conditions. There can be no assurance that definitive agreements will be entered into or that the proposed acquisition will be completed on the contemplated terms or at all.
