Delistings & Exchange Moves
Securities leaving, joining, or moving between venues — a listing event, which is not the same as a company event.
A delisting is the removal of a class from an exchange. It can mean a merger closed, a company chose to leave, an exchange enforced a standard, or a case is winding down. It is not deregistration, not bankruptcy, and not evidence the issuer is gone. This theme exists because the distinction is constantly collapsed and the filings keep it.
In detail
The theme's discipline is definitional. Form 25 removes a class from listing and registration on an exchange. Form 15 terminates Exchange Act reporting. An exchange deficiency notice starts a compliance clock. A move from the OTC market to an exchange is an uplisting. A move between exchanges is a transfer. A voluntary delisting to reduce cost while continuing to report is a different event from a delisting for failure to maintain a minimum bid price, which is a different event again from the routine Form 25 that follows every completed merger. All four look identical in a feed that only reads the form type.
Filings are the honest way to follow the theme because each event carries its own paper. The deficiency notice appears in an 8-K under Item 3.01. The compliance plan and its acceptance appear the same way. The reverse split undertaken to cure a price deficiency appears in a proxy and an 8-K. The Form 25 states who filed it — the exchange or the issuer — which distinguishes enforcement from choice. The Form 15 states the holder count relied upon.
What a filing-driven feed shows that headlines don't: Item 3.01 notices, which are the earliest formal signal of a listing problem and are covered almost nowhere; compliance-plan acceptances and extensions; the difference between an exchange-initiated and an issuer-initiated Form 25; deregistration without delisting and delisting without deregistration; and the securities that continue to trade over the counter afterward, which a feed that treats delisting as death will lose entirely.
