The moment an investor crosses 5% and says what they intend to do about it.

Anyone acquiring more than 5% of a registered equity class must disclose it, and must state whether they hold passively or with a purpose of influencing control. That distinction — Schedule 13G versus Schedule 13D, and Item 4 of the 13D — is the entire theme. It is a filed event with a deadline, and it is where campaigns become public.

In detail

The Williams Act rules turn ownership into disclosure. A holder crossing 5% files. A passive institution files a 13G on a relaxed schedule. A holder with intent files a 13D, and Item 4 requires them to state their purpose — which is why a 13D reads like a letter and often is one. Amendments are required on material changes, which means the campaign's escalation is documented step by step: the initial stake, the letter to the board, the nominations, the settlement or the proxy fight, the exit.

Filings are the honest way to follow the theme because the alternative is reporting on leaks. The filing deadlines were shortened in a recent rulemaking, which compressed the window between accumulation and disclosure and made the feed more timely than it used to be. Group formation, derivative positions, and financing arrangements are all disclosed in the schedule and its exhibits. A settlement or standstill agreement with a company is filed by both sides.

What a filing-driven feed shows that headlines don't: 13G-to-13D conversions, which are the cleanest possible signal that a passive holder has stopped being passive and are almost never covered; the exhibits, which contain the actual letters and agreements; group formation among holders who individually stayed below the threshold; the accumulation pace visible across amendments; the quiet exits, filed as amendments reporting a position below 5% and then silence; and the settlements and standstills that end campaigns before any of it reaches a headline.
