Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On September 11, 2026, Tri-State received the tragic news that Lucas Bear, the director representing Northwest Rural Public Power District (“NRPPD”) on Tri-State’s Board of Directors, unexpectedly passed away. On September 14, 2026, Tri-State received notification that Robert Brockman, the director representing Wheatland Rural Electric Association (“Wheatland”) on Tri-State’s Board of Directors, has stepped down from Wheatland’s board of directors. Pursuant to Tri-State’s Bylaws, because Mr. Brockman is no longer a director on Wheatland’s board of directors, Mr. Brockman is no longer eligible to be a director on Tri-State’s Board of Directors. Neither NRPPD nor Wheatland have yet identified a new representative to Tri-State’s Board of Directors.
