Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On August 28, 2026, Parabilis Medicines, Inc. (the “Company”) and Fawzi Benzaghou, M.D., the Company’s Chief Medical Officer, mutually agreed that Dr. Benzaghou would transition from the Company effective as of September 30, 2026. In connection with his departure from the Company, Dr. Benzaghou will receive severance benefits pursuant to the terms of his employment agreement with the Company.
