Item 8.01 Other Events On June 24, 2026, WM Technology, Inc. (the “Company”) announced that the Company’s 2026 Annual Meeting of Stockholders (the “Annual Meeting”) held in virtual format on June 24, 2026, was convened and adjourned until July 16, 2026 at 10:00 a.m. Pacific Time, without any business being conducted. The Company adjourned the Annual Meeting for the purpose of allowing additional time for stockholders to vote on the proposal to amend the Company’s Certificate of Incorporation to declassify the Board of Directors of the Company and to provide for the immediate annual election of all directors, as more fully described in the Company’s definitive proxy statement for the Annual Meeting, filed with the Securities and Exchange Commission on April 28, 2026 (the “Proxy Statement”). The business scheduled for the re-convened meeting remains the same as set forth in the Proxy Statement. The record date for the Annual Meeting continues to be the close of business on April 27, 2026.
