Company context

We are a blank check company incorporated in the British Virgin Islands on August 20, 2021, as a business company with limited liability (meaning that our public shareholders have no liability, as shareholders of our company, for the liabilities of our company over and above the amount paid for their shares). We were formed for the purpose of effecting a merger, share exchange, asset acquisition, share purchase, recapitalization, reorganization or similar business combination with one or more businesses or entities, which we refer to as a “target business.” Our efforts to identify a prospective target business will not be limited to a particular industry or geographic location. However, we will not undertake our initial business combination with any PRC entity with a VIE structure. As a result, this may limit the pool of acquisition candidates we may acquire in the PRC, in particular, due to the relevant PRC laws and regulations against foreign ownership of and investment in certain assets and industries, known as restricted industries, which include but are not limited to, value-added telecommunications services (inclusive of internet content providers). We do not have any specific business combination under consideration and we have not (nor has anyone on our behalf), directly or indirectly, contacted any prospective target business or had any substantive discussions, formal or otherwise, with respect to such a transaction. Item 8.01 Other Events. On September 17, 2026, pursuant to separate share transfer instruments, Poseidon Ocean Corporation transferred 3,813,333 ordinary shares of SB Capital Holding Corporation, the sponsor of Ocean Capital Acquisition Corporation (the “ Company ”) (the “ Sponsor ”), to Chi-Ping Cindy Lee (the “ Transferee ”). In addition, each of Hin Wing Wong, Hiu Man Cheng, Pok Yu Augustine Chow and Man Kai Anthony Ho transferred 5,000 ordinary shares of the Sponsor to the Transferee. The foregoing transfers comprised an aggregate of 3,833,333 ordinary shares of the Sponsor, representing all of the issued and outstanding equity interests in the Sponsor (collectively, the “ Transfers ”). Following the completion of the Transfers, the Transferee owns 100% of the issued and outstanding equity interests in the Sponsor. The Sponsor continues to serve as the sponsor of the Company and remains the record holder of the same number of securities of the Company as it held immediately prior to the Transfers. The Sponsor’s existing rights and obligations under the agreements entered into in connection with the Company’s initial public offering remain unchanged.
