BondBloxx Investment Management Corporation is the Advisor; HCG Fund Management LP is the Sub-Advisor and is responsible for the day-to-day management of the Trust’s private credit assets; CSC Delaware Trust Company is the Trustee; BBH is the Administrator, Transfer Agent and the custodian for the Trust’s non-private credit assets; and Inspira is the custodian for the Trust’s private credit assets. Each of the Advisor and the Sub-Advisor is registered with the SEC as an investment adviser under the Advisers Act. The Trust intends to operate its business in a manner that will permit the Trust to fall outside the definition of an “investment company” under Section 3(a)(1) of the 1940 Act, and will not be subject to regulation under the 1940 Act, and thus the Trust is not an investment company registered under the 1940 Act. Investors in the Trust will not, therefore, receive the regulatory protections offered by investment companies registered under the 1940 Act.
