Neighpart International Corporation (“NIC” or the “Company”) was founded in 2019 as the first act of internationalization of the Neighpart S.A. Neighpart S.A was founded in 1991 as Madrigal Pharmacies, S.A. Neighpart S.A. distributed medicines, both prescription and over the counter, medical devices and medical equipment. Both companies have Mr. Claudio A. Escobar as their majority shareholder. On August 1, 2024, NIC completed the negotiations for the acquisition of 100% of the outstanding shares of Neighpart S.A., Kaizen Energy S.A.E.C.A in exchange for Series B Preferred Shares. Although the merger has been contractually agreed to, closing will occur once the Company receives the PCAOB reports, which are still pending. Closing of the transaction is not dependent on the successful qualification of this offering.
