Item 1.01 Entry into a Material Definitive Agreement. On August 12, 2026, the Board of Directors of Teradata Corporation ("Teradata") approved a form of Indemnification Agreement (the "Indemnification Agreement"), and entered into an Indemnification Agreement with each of its directors and executive officers (each, an "Indemnitee"). The Indemnification Agreement provides generally that Teradata will indemnify each Indemnitee and advance expenses to each Indemnitee to the fullest extent permitted under Delaware law, and to provide for coverage of each Indemnitee under the Company’s directors’ and officers’ insurance policies. The preceding description of the Indemnification Agreement is not complete and is subject to and qualified in its entirety by reference to the Indemnification Agreement, which is attached as Exhibit 10.1 to this Current Report on Form 8-K and incorporated herein by reference.
