Bank of Clarke serves customers from the Shenandoah Valley to Northern Virginia through 14 full-service branches, a drive-through facility and a loan production office in Rockville, Maryland, and offers community banking, wealth management, and mortgage and SBA banking services. Item 2.02 Results of Operations and Financial Condition On July 23, 2026, the Registrant issued a press release announcing the results for the quarter ended June 30, 2026. A copy of the Company’s press release with respect to the results for the quarter ended June 30, 2026 is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 2.02. The Registrant also announced in the press release that it will host a conference call for investors and analysts on Friday, April 24, 2026 at 10 a.m. (Eastern Time) to discuss second quarter results.
