EX-99.1 2 fgen-ex99_1.htm EX-99.1 EX-99.1 Exhibit 99.1 UNAUDITED PRO FORMA CONDENSED CONSOLIDATED FINANCIAL INFORMATION On September 2, 2025, the Company announced that it completed the sale of FibroGen International (Hong Kong) Ltd., (including its subsidiaries, “FibroGen China”) to AstraZeneca Treasury Limited (“AstraZeneca”), for a total consideration of approximately $220 million, subject to certain customary adjustments as set forth in the purchase agreement, comprised of $85 million in enterprise value and approximately $135 million in net cash held in China (collectively, the “Transaction”). At closing of the Transaction, the Company also repaid its senior secured term loan facilities with Morgan Stanley Tactical Value (“MSTV”) for approximately $81 million. In addition, the Company also entered into certain related transaction agreements at the closing, including a transition services agreement and other customary agreements.
