Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. (d) Appointment of New Director On January 8, 2026, the Board of Directors (the “Board”) of NetApp, Inc. (the “Company”) approved an increase in the number of authorized directors on the Board from nine (9) to ten (10) and appointed Paul Fipps as a member of the Board to fill the vacancy created thereby. There are no arrangements or understandings between Mr. Fipps, on the one hand, and the Company or any other persons, on the other hand, pursuant to which Mr. Fipps was selected as a director. There are no related party transactions between the Company and Mr. Fipps (or any immediate family member thereof) requiring disclosure under Item 404(a) of Regulation S-K. Mr. Fipps does not have any family relationships with any of the Company’s directors or executive officers or any persons nominated or chosen by the Company to be a director or executive officer. As a non-employee director, Mr. Fipps will participate in the non-employee director compensation program described in the Company’s definitive proxy statement that was filed with the Securities and Exchange Commission (the “SEC”) on July 25, 2025. In addition, it is expected that he will enter into the Company’s standard form of director indemnification agreement previously approved by the Board. The form of indemnification agreement was filed as Exhibit 10.1 to the Company’s Current Report on Form 8-K as filed with the SEC on May 31, 2023. A copy of the Company’s press release announcing the appointment of Mr. Fipps to the Board is attached hereto as Exhibit 99.1 and the information set forth therein is incorporated herein by reference.

The board now has ten directors, nine of whom are independent, and 50% of whom have been appointed within the last five years. Fipps brings more than 20 years of experience driving technology-enabled growth and customer transformation. At ServiceNow, he currently leads global sales, customer success, partner ecosystems, and field operations. He previously served as EVP of Worldwide Sales at ServiceNow and as President of Under Armour Connected Fitness and Chief Experience Officer at Under Armour, overseeing global direct-to-consumer, connected fitness, and digital experiences. He also previously served on the advisory board of Quantum Metric.
