Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On September 24, 2026, the Board of Directors (the “Board”) of FactSet approved and adopted amendments to the Company’s amended and restated by-laws (as amended and restated, the “Amended and Restated By-laws”), which became effective the same day. The amendments contained in the Amended and Restated By-laws:
• allow the Board to delegate to its committees all the powers and authority of the Board in the management of the business and affairs of the Company as allowed under the Delaware General Corporation Law;
• update certain procedural and disclosure requirements relating to the information and timing requirements of the advance notice of nominations and other business at meetings of shareholders;
• make certain conforming and clarifying revisions, including to provisions related to appointment of officers and defined terms used throughout.
