Item 7.01Item 7.01 - Regulation FD Disclosure
Item 7.01 Regulation FD Disclosure. JetBlue Airways Corporation ("JetBlue" or the "Company") announced today an operational and financial update of its expected third quarter 2026 results. Demand for travel has remained strong throughout the third quarter, with healthy booking trends continuing into September across both peak and off-peak travel periods. Additionally, the Company has observed no meaningful signs of elasticity, reinforcing our confidence in the underlying demand environment. Recent weather events and air traffic control constraints, particularly across the Northeast where JetBlue has significant network concentration, resulted in elevated operational disruption during July and August. Although severe airport-weather days across the National Airspace System rose more than 40% versus the prior three-summer average, JetBlue’s ATC-related cancellations nearly doubled, reflecting the greater operational impact in our core Northeast geographies. These disruptions drove higher-than-previously-expected CASM ex-Fuel (1). Fuel prices have remained elevated relative to the Company’s prior outlook, resulting in higher expected third-quarter fuel expense. Despite these pressures, strong underlying demand, a constructive pricing environment and targeted commercial actions have driven a meaningful improvement in the Company’s third-quarter revenue outlook, with the midpoint of updated RASM guidance four percentage points above the midpoint of its prior outlook, helping offset the incremental fuel and operational cost pressures. Early fourth quarter booking trends also remain encouraging. The table below provides JetBlue's updated investor guidance for the third quarter ending September 30, 2026. Third Quarter 2026 Outlook Current Guidance Previous Guidance (2) ───────────────────────────────────────────────────────────────────────────────────────────────── Capacity and Revenue Available Seat Miles ("ASMs") Year-Over-Year 1.5% – 3.5% 3.0% - 6.0% RASM Year-Over-Year 17.0% - 20.0% 12.5% - 16.5% Expense CASM Ex-Fuel (1) Year-Over-Year 6.0% - 8.0% 2.5% - 4.5% Fuel Price per Gallon (3) $3.96 $3.49 Capital Expenditures (4) ~$275 million ~$300 million Our estimated effective tax rate is ~6% for the third quarter and full year 2026, primarily reflecting a non-cash impact from a valuation allowance included in our forecasted annual effective tax rate. (1) Operating expense per available seat mile, excluding fuel, other non-airline operating expenses and special items. Non-GAAP financial measure; refer to Note A for further details on non-GAAP forward looking information. (2) Previous guidance as of July 28, 2026. (3) JetBlue utilizes the forward Brent crude curve and the forward Brent crude to jet crack spread to calculate fuel price for the current quarter. Fuel price is based on the forward curve as of September 4, 2026. Includes fuel taxes and other fuel fees. (4) Capital expenditures exclude one Airbus A321neo XLR, which JetBlue expects to sell.
