Company context

We are a biopharmaceutical company focused on developing novel therapeutics for the treatment of serious diseases with unmet medical needs and a commercial focus on the United States (“U.S.”) market. Our current strategy is to focus our development activities on MN-166 (ibudilast) for neurological and other disorders such as progressive multiple sclerosis (“MS”), amyotrophic lateral sclerosis (“ALS”), chemotherapy-induced peripheral neuropathy (“CIPN”), degenerative cervical myelopathy (“DCM”), glioblastoma, substance dependence and addiction (e.g., methamphetamine dependence), and prevention of acute respiratory distress syndrome (“ARDS”), and MN-001 (tipelukast) for fibrotic and other metabolic disorders such as nonalcoholic fatty liver disease (“NAFLD”), and hypertriglycedemia.

Item 5.07 Submission of Matters to a Vote of Security Holders. MediciNova, Inc. (the “Company”) held its 2026 annual meeting of stockholders on June 23, 2026 (the “Annual Meeting”). The Company filed its definitive proxy statement for the proposals voted upon at the Annual Meeting with the Securities and Exchange Commission on April 29, 2026 (the “Proxy Statement”). At the close of business on April 24, 2026, the record date of the Annual Meeting, the Company had 49,221,246 shares of common stock issued and outstanding. The holders of a total of 29,774,819 shares of common stock were present at the Annual Meeting, either in person or by proxy, which total constituted a quorum of the issued and outstanding shares on the record date of the Annual Meeting. Set forth below are the results of the matters submitted for a vote of stockholders at the Annual Meeting (1) To elect two Class I Directors nominee named below to serve until the 2029 Annual Meeting of stockholders and until his or her successor has been duly elected and qualified, or, if sooner, until his or her earlier death, resignation or removal.
