Committee Assignments
This Form 8-K/A amends the Form 8-K filed by Primoris Services Corporation (the “Company”) on August 31, 2026, (the “Original Filing”) related to the appointment of James A. Greer and Oscar K. Brown to the Company’s Board of Directors (the “Board”) effective October 1, 2026; such disclosure is incorporated herein by reference in its entirety. At the time of the Original Filing, Mr. Greer’s and Mr. Brown’s Board committee assignments had not been determined. In accordance with Instruction 2 to Item 5.02 of Form 8-K, the sole purpose of this amendment is to disclose committee assignments for Mr. Greer and Mr. Brown. On October 30, 2026, the Board appointed Mr. Greer to serve on the Board’s Strategy and Risk Committee and Mr. Brown to serve on the Board’s Compensation Committee, effective immediately. No other changes have been made to the Original Filing.
