Item 8.01 Other Events. On February 25, 2026, First Foundation Inc. (“First Foundation”) and FirstSun Capital Bancorp (“FirstSun”) jointly announced receipt of regulatory approval from the Office of the Comptroller of the Currency to complete the merger of their respective bank subsidiaries, First Foundation Bank and Sunflower Bank, N.A., as part of the previously announced merger between First Foundation and FirstSun (the “merger”) pursuant to the Agreement and Plan of Merger dated October 27, 2025, as amended (the “merger agreement”), by and between FirstSun and First Foundation. Completion of the merger remains subject to receipt of regulatory approval from the Board of Governors of the Federal Reserve System, approval by the stockholders of First Foundation and FirstSun at their respective stockholder meetings to be held on February 27, 2026, and the satisfaction or waiver of the remaining customary closing conditions. The merger is currently expected to be completed early in the second quarter of 2026. The joint press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
