Entry into a Material Definitive Agreement
On August 14, 2026, Science Applications International Corporation (the "Company") entered into Amendment No.6 (the "Amendment") to the Master Accounts Receivable Purchase Agreement (the "Existing Purchase Agreement"), among the Company, as a seller and seller representative, and MUFG Bank, Ltd., as purchaser (the "Purchaser").
The current Amendment allows for the sale of up to $400 million of certain designated eligible receivables with the U.S. government, an increase from the previous facility limit of $300 million. The remaining material terms in the Existing Purchase Agreement are unchanged.
The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the Amendment, a copy of which is filed as Exhibit 10.1 hereto and incorporated by reference in this Current Report on Form 8-K.
