Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously disclosed in its prior reports filed with the Securities
and Exchange Commission, GPB Holdings II, LP (the “Partnership”) has sold substantially all of its assets and is now in receivership
pursuant to an order of U.S. District Court for the Eastern District of New York. Under the direction and authority of the court-appointed
Receiver for the Partnership, Evan Cutler had previously served as the Chief Financial Officer of Highline Management, Inc. (“Highline”),
pursuant to which he also functioned as the Partnership’s principal financial and accounting officer. On June 30, 2026, as part
of and in accordance with the wind-down process, Mr. Cutler’s employment with Highline ended, and he ceased serving as the Partnership’s
principal financial and accounting officer.
