Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. Departure of Director On August 13, 2026, the majority stockholder of Internet Sciences, Inc. (the “Company”), acting by written consent in lieu of a meeting pursuant to Section 228 of the General Corporation Law of the State of Delaware, removed Myrna Soto as a member of the Company’s Board of Directors, effective immediately, pursuant to Section 3.12 of the Company’s Amended and Restated Bylaws, which provides that “Any director or the entire Board of Directors may be removed with or without cause by the holders of a majority of the shares then entitled to vote at an election of directors,” and Section 141(k) of the Delaware General Corporation Law.
