On August 21, 2026, the Company entered into a Stock Purchase Agreement (the “Stock Purchase Agreement”) with M-COR Capital LLC, a Delaware limited liability company (the “Investor”), pursuant to which the Company agreed to sell 1,000,000 shares of its Class A common stock, $0.0001 par value per share (the “Common Stock”), to the Investor in a registered direct offering at a purchase price of $10.00 per share. Cautionary Statement Regarding Forward-Looking Statements This Current Report on Form 8-K includes “forward-looking statements” within the meaning of the safe harbor provisions of the U.S. Private Securities Litigation Reform Act of 1995. Certain of these forward-looking statements can be identified by the use of words such as “believes,” “expects,” “intends,” “plans,” “estimates,” “assumes,” “may,” “should,” “will,” “seeks,” or other similar expressions. These statements are based on current expectations on the date of this Form 8-K and involve a number of risks and uncertainties that may cause actual results to differ significantly. The Company does not assume any obligation to update or revise any such forward-looking statements, whether as the result of new developments or otherwise. Readers are cautioned not to put undue reliance on forward-looking statements. Important factors that could cause actual results to differ materially from those in the forward-looking statements include the risks described in the “Risk Factors” section of the Company’s Annual Report on Form 10-K for the year ended December 31, 2025 and its other filings with the SEC.
