Item 7.01Item 7.01 - Regulation FD Disclosure
Item 7.01. Regulation FD Disclosure. As previously disclosed, Getty Images Holdings, Inc. (the “Company”) elected to rely on its available 30-day grace periods with respect to interest payments due on September 1, 2026 for its 9.750% Senior Notes due 2027 (the “9.750% Senior Unsecured Notes”) and 14.000% Senior Notes due 2028 (the “14.000% Senior Unsecured Notes” and together with the 9.750% Senior Unsecured Notes, the “Senior Unsecured Notes”). On September 30, 2026, the Company made the interest payments with respect to the Senior Unsecured Notes. Because the interest payments were made within the applicable 30-day grace periods, no “Event of Default” occurred under the indentures governing the Senior Unsecured Notes. As previously disclosed, the Company and its advisors have been evaluating strategic financing alternatives and balance sheet management initiatives, which includes an active and progressing dialogue with its key debt and equity holders.
