The holders of a majority of the issued and outstanding shares of our common stock approved, by written consent dated August 25, 2026, the Blank Check Amendment. Such stockholder approval will be deemed effective 20 calendar days after the date on which a definitive information statement related thereto is first sent or given to our stockholders. We filed a preliminary information statement with the SEC related thereto on August 31, 2026. As of the date of this prospectus, we have not filed a definitive information statement with the SEC or sent or given a definitive information statement to our stockholders. Promptly after the approval of the Blank Check Amendment by our stockholders is deemed effective, we expect to file the Blank Check Amendment with the Delaware Secretary of State and for it to be effective upon filing, and to promptly thereafter file a certificate of designation that designates 25,000 shares of preferred stock as the Series A Preferred Stock.
