Item 8.01 Other Events.
The
Vertex HQ Mortgage Loan, which constituted approximately 9.4% of the asset pool
of the issuing entity as of its cut-off date, is an asset of the issuing entity
and is part of a loan combination that is being serviced and administered under
the trust and servicing agreement, dated as of August 1, 2025, relating to the
VRTX Trust 2025-HQ filed as Exhibit 4.2 to the Current Report on Form 8-K filed
on September 9, 2025 (the “VRTX 2025-HQ TSA”). Pursuant to Section 7.1(e)
of the VRTX 2025-HQ TSA, Situs Holdings, LLC was removed as special servicer of
the Vertex HQ Mortgage Loan and Argentic Services Company LP (“Argentic”), a
Delaware limited partnership, was appointed as the successor special servicer
of the Vertex HQ Mortgage Loan under the VRTX 2025-HQ TSA.
In the interest of transaction management, this
Form 8-K is being filed to record that, effective as of August 18, 2026, the
Vertex HQ Mortgage Loan will be specially serviced, if necessary, pursuant to the
VRTX 2025-HQ TSA, by Argentic. The principal executive office of Argentic
is located at 500 North Central Expressway, Suite 261, Plano, Texas 75074 and
its telephone number is 469-609-2000.
