Company context

We are a blank check company incorporated on February 20, 2026 as a Cayman Islands exempted company with limited liability and formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses or entities, which we refer to throughout this prospectus as our initial business combination. We have not selected any business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. We have not contacted any prospective targets previously considered or rejected by Cartesian Growth Corporation (“CGC I”), Cartesian Growth Corporation II (“CGC II”) or Cartesian Growth Corporation III (“CGC III”). However, we may do so following this offering if we believe at that time that their valuations, operations or prospects would make them an attractive target for a business combination and if we believe that doing so would be in the best interests of our shareholders.
