The Trust was formed as a Delaware statutory trust on September 25, 2025. The Trust is governed by the provisions of the Second Amended and Restated Trust Agreement executed as of June 4, 2026 by the Sponsor, the Trustee and the Delaware Trustee (as amended from time to time, the “Trust Agreement”). The Trust Agreement sets out the rights of the registered holders of the Shares and the rights and obligations of the Sponsor, the Trustee and the Delaware Trustee. Delaware law governs the Trust Agreement, the Trust and the Shares. The Trust intends to continuously offer Shares but may suspend issuances of Shares at any time.
